The following conditions apply to the Club Matrix Canada Business Development Program (hereafter called the "Program").

Club Matrix Business Development Program, offered by L’Oréal Canada, doing business under the name Matrix of Canada (“Sponsor” or “Matrix”), Terms and Conditions are effective as of January 1, 2018.

The Club Matrix Business Development Program ("Program") is open to licensed salon owners or booth renters (“Participants”). Participants must be 18 years of age or older at the time of registration. Program is valid only on purchases of Matrix products (the “Participating Brand”). National Accounts, Beauty Supply Stores, Beauty Schools and Students are not eligible for this Program. Corporations, associations, groups and employees thereof may not participate. Valid only in Canada. Void where prohibited. Participation in Club Matrix Business Development Program is voluntary. Participants do not need to join the program to purchase products.

Membership in Club Matrix Business Development Program and its benefits is offered at the discretion of Matrix of L’Oréal Canada based on reaching certain purchase thresholds. Matrix may, at any time, terminate, change, limit, modify or cancel Program or any rules, regulations, eligibility, benefits or conditions of participation by posting the modified rules on this page. Participants’ continued participation in the program after such posting will constitute Participant’s acceptance. By enrolling in Program, Participant hereby agrees to these Terms and Conditions, which may be updated from time to time by Matrix in its sole discretion, and that Participant meets the eligibility requirements. Changes to Program or these Terms and Conditions will be communicated via email or on this web page.

By enrolling in Program, Participant accepts:

- to provide true, accurate, current and complete information and agrees to maintain and promptly update their information;

- consents to his/her Distributor sharing with Matrix the sales data, which may include personal information of the Participant, related to Participant’s purchases of Matrix products (“Sales Data”) for the purpose of administrating this Program as per the terms set out herein.

If Participant provides any data that is untrue, inaccurate, not current or incomplete, or if Matrix, in its sole discretion, suspects that Participant registration data is untrue, inaccurate, or incomplete or that Participant is in any way abusing Participant membership in Program, or if Participant is found to be diverting product, Matrix reserves the right to suspend, terminate or refuse Participant participation.

HOW TO ENROLL, RECEIVE AND REDEEM PROGRAM REWARDS

The Club Matrix Business Development Program may be earned only for purchases made through Participant’s authorized product distributor. Participants should check with their distributor to confirm participation. Participant may ask distributor to join the program.

Participant may personally enroll in Program on the website www.club.matrixprofessional.ca or authorize his/her respective District Sales Consultant (“DSC”) to do so and administer the points on his/her behalf by filling out an online form in My Account section. If any such authorization is granted, Participant hereby releases DSC from any claim or complaint he/she could have against the DSC with regard to the administration (collection, use, redemption, expiry, awards, etc) of his/her points.

Matrix may authorize automatic enrollment if Participant was enrolled in the previous rewards program offered by Matrix. When enrolling, Participant will be asked to provide full name, one unique email address and other information regarding his salon. Participant enrollment will be confirmed with a welcome message at the email address provided. The welcome message will include Participant enrollment information.

Points collected through the Program may be redeemed by the Participant for a variety of rewards in the Club Matrix Business Development Program Catalog, including backbar items, salon accessories and apparel, merchandising and education. Items and point values in Rewards Catalog may change from time-to-time at Matrix’s sole discretion.

PLATINUM
$25,000+ per year
Our highest tier lets you earn 12 points for every dollar you spend.

GOLD $15,000 – $24,999 per year
Our fourth tier lets you earn 9 points for every dollar you spend.

SILVER
$5,000 – $14,999 per year
Our third tier lets you earn 7 points for every dollar you spend.

BRONZE
$1,500 - $4,999 per year
Our second tier lets you earn 5 points for every dollar you spend.

FRIENDS
$1,499 or Less per year
Our first tier earns 0 point* for every dollar spent.
*New members will receive a 5,000 points as a welcome gift, unlocked once they spend $500 within the first 3 months of joining Club Matrix.

OTHER EARNING OPPORTUNITIES

  - Subscribe to the Club Matrix Newsletter and get 2,000 (two thousand) extra points. Applicable only once per lifetime.
  - Refer stylists to subscribe to Matrix Newsletter and get 50 (fifty) extra points per referral. Applicable to maximum 5 (five) referrals per lifetime.

Upon signing up to the Program, Participant will be automatically enrolled in Friends Tier. When Participant reaches the next designated dollar-amount threshold, Participant will advance to the next Tier.

The Tier Level is based on annual calendar spend (January 1 to December 31) (“Reward Period”) based on the Sales Data provided by Distributor. Participant will start the new calendar year at the same Tier Level as they ended the prior Reward Period. If Participant’s spend reaches the next designated dollar amount threshold Participant will advance to the next Tier. If at the end of Reward Period, Participant’s spend was that of a lower level, they will be downgraded at the start of the next Reward Period to the appropriate lower Tier.

A. Points from purchases will be posted within maximum thirty (30) days of purchase. Points are based on net dollars spent on qualifying purchases (as per Product Purchases in above chart) or other non-transactional earnings opportunities (see chart above). For promotions with percent dollars off, points will be based on the price actually paid by Participants.

B. Matrix reserves the right to change the number of points awarded for future purchases at any time during the Program.

C. Matrix may make promotional offers selectively available to Participants, based on purchase activity, geographic location, program participation, or other factors.

D. Points expire twelve (12) months after the calendar month in which they were earned.

E. If a Participant believes that points were not properly credited to his/her Account or did not provide Distributor number at the time of purchase, the Participant must notify Matrix by sending an email to: [email protected]

RETURNED PURCHASES

If an order, or part of an order is returned, and rewards were previously granted, such reward points will be reduced to reflect the returned order amount. If due to the return the member account has a negative balance, points earned on future transactions will be applied to the negative balance until return amount is satisfied.

GIFTING

DSCs can gift points to another Participant. Once the gifted points are sent to a Participant, they are immediately deleted from that members account. Gifted points must be redeemed within 60 days. If points are not redeemed within 60 days, the points will expire.

PRIVACY AND CONFIDENTIALITY

The confidentiality and privacy of Participants’ information collected in the scope of the Program is of the utmost importance to us.

By participating in the Program, Participant agrees to the following privacy terms:
•    Matrix will collect information from Participant when they register to the Program and through their Distributor, who will provide to Matrix any Sales Data (as defined above) pertaining to the Participant’s purchases and orders of Matrix products.
•    Participants authorize their Distributor to share its Sales Data with Matrix for the purpose of administrating the Program as per the present terms, namely for the administration and optimization of the Program and redemption of the Participants’ points.  
•    The Sales Data shall be used by Matrix for this purpose only and shall not be disclosed by Matrix to any person or entity other than to third parties that perform functions on behalf of Matrix (or on behalf of its partners) such as service providers that host or operate its Sites, provide analytics and site usage information, process and administer the Program redemption. 
•    Information collected by Matrix in the Program registration form shall be used for the purpose of administrating and optimizing the Program only, unless Participant provides express permission on the Program registration form to be contacted for other information or marketing purposes, in which case the information would be subject to the Privacy Policy at www.club.matrixprofessional.ca

COMMUNICATIONS AND REVIEWING PARTICIPANT ACCOUNT INFORMATION

As a member, you will receive emails from Matrix relevant to your membership with the Club Matrix Business Development Program (“Membership Emails”). On the Program registration page, you can also opt-in to receive promotional emails about Matrix products and services, surveys, etc (“Promotional Emails”). Participant may opt out of these Promotional Emails at any time by clicking the unsubscribe button at the bottom of our emails or contacting Matrix Member Support. but Membership Emails will still be sent to Participant. Examples of Membership Emails are: Club Matrix Business Development Program welcome email, changes to these Terms and Conditions, or other communications that help us to ensure that Participant account is up-to-date. If Participant wishes to stop receiving all email from Matrix, Participant must also cancel Participant Club Matrix Business Development Program membership. Participant is responsible for keeping Participant email address with Matrix up-to-date, and we are not responsible for lost or delayed communications regarding Club Matrix Business Development Program. To review or change Participant account information, Participant can review the “My Account” section of the website by logging into www.club.matrixprofessional.ca or sending us an email at [email protected].

ACCOUNTS

Only one Club Matrix Business Development Program account may be associated with one individual and one single email address. Account may not be shared or pooled by multiple individuals. In the event of a dispute over ownership of an account, the registration will be declared to have been made by the authorized account holder of the email address submitted at the time of enrollment. For purposes of these Terms, the “authorized account holder” is the natural person who is assigned to the submitted email address by an internet provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

If more than one (1) account is assigned to an individual, or if an individual opens more than one (1) account, Participant will only receive points per account. Duplicate Accounts will be cancelled with any points associated with the duplicate account will be forfeited.

In the event an Account is inactive for any given 365-day period, the Participant’s account will be deactivated. Inactivity is defined as no Points earned or no Point redemption. No extensions, cash refunds or other exchanges will be allowed for Points that have been removed from an Account based on inactivity. In order to reactivate an account a Member must contact customer service from the email address that is assigned to the account.

Sponsor reserves the right to deactivate an Account in which points were obtained as a result of diversion of product, fraudulent, illegal or unsportsmanlike activity or technical failures of any kind.

Matrix reserves the right, without limitation, to terminate, change, limit, modify or cancel any of the above activities, with or without notice. Unless otherwise stated, member account spend balances will be communicated to Participant via email or accessible by logging on to Participant account on www.club.matrixprofessional.ca

GENERAL PROGRAM CONDITIONS AND EXCLUSIONS

Rewards have no cash value (except where required by law) and members have no property interest in the rewards. Member Points have no cash value and cannot be redeemed for cash at any time. Participants must have sufficient Points to redeem Matrix rewards. Participant Points have no purpose or use other than in exchange for, education, merchandising or salon products and accessories offered by Matrix.

Matrix reserves the right to limit the quantities of Matrix rewards redeemed by a single member in a given time period.

In the case of a dispute regarding the Points available to any member, Matrix decision will be final. Upon termination of membership for any reason, all account spend credit will be forfeited and Matrix will not provide cash equivalents for rewards or account spend balances.

ABUSE OR MISUSE OF THE PROGRAM

By enrolling in Club Matrix Business Development Program, Participant agrees not to (a) take any action or (b) upload, post, submit or otherwise distribute or facilitate distribution of any User Content (including text, communications, software, photographs, videos, sound recordings, data or other information) using any communications service, discussion forum, or other feature available on or through Club Matrix Business Development Program, in any manner, that is unlawful, deceptive, misleading, fraudulent, threatening, abusive, harassing, libelous, invasive of another's privacy, tortious, obscene, profane, infringes on any patent, trademark, trade secret, copyright, right of publicity, right of privacy, any other right of any party or which otherwise violates Matrix Site Terms and Conditions or any Other Agreement. Participant further agree not to (a) upload any content that imposes an unreasonable or disproportionately large load on Matrix computing, storage or communications infrastructure, or attempts to gain unauthorized access to Club Matrix Business Development Program, other accounts, computer systems or networks connected to or related to Club Matrix Business Development Program, through password mining or otherwise; (b) contains software viruses or any other computer codes, files, or programs that are designed or intended to disrupt, damage, limit or interfere with the proper function of any software, hardware or network system or to damage or obtain unauthorized access to any system, data or other information of Matrix, or any third party; (c) creates member accounts by any automated means or under false pretenses or impersonates any person or entity, including an employee or representative of Matrix; or (d) harvests, scrapes or collects any information from the Matrix sites.

Matrix is not responsible for problems related to any of the equipment or programming associated with or utilized by the member; any human error; any interruption, deletion, omission, defect or failure of any network or electronic transmission for whatever reason.

RELEASE

By participating in the Program, each Member agrees to release and hold harmless Matrix, Administrator, and their respective parents, affiliates, suppliers, distributors, advertising/promotion agencies, and offer suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, losses or damages of any kind, including personal injury, death, or damage to or loss of property, arising out of participation in the Offer or receipt or use or misuse of any Product or coupon.

LIMITATION OF LIABILITY

Sponsor is not responsible for incorrect or inaccurate transcription of information, for problems related to any of the equipment or programming associated with the Program or utilized by the Member, for any human error, for any interruption, deletion, omission, defect, or line failure of any telephone network, cellular network, or electronic transmission, for problems relating to computer equipment, software, inability to access the Website or online service, or for any other technical or non-technical error or malfunction. In the event of a printing error or irregular packaging, neither Matrix nor respective related companies, parents, subsidiaries, affiliates, and respective agents and their agencies, suppliers and other companies involved in the development or execution of the Program or the production or distribution of Program materials (“Releasees”) shall have any liability. UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL ANY OF THE RELEASEES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE PROGRAM OR MERCHANDISE OFFERED THROUGH THE PROGRAM, EVEN IF ANY OR ALL OF THE FOREGOING OR ANY OF THEIR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF THE SPONSOR IMPROPERLY DENIES A MEMBER ANY POINTS, LIABILITY WILL BE LIMITED TO THE EQUIVALENT NUMBER OF POINTS. BY PARTICIPATING IN THE PROGRAM, A MEMBER WAIVES ANY AND ALL RIGHTS TO BRING ANY CLAIM OR ACTION RELATED TO SUCH MATTERS IN ANY FORUM BEYOND ONE YEAR AFTER THE FIRST OCCURRENCE OF THE KIND OF ACT, EVENT, CONDITION OR OMISSION UPON WHICH THE CLAIM OR ACTION IS BASED. Matrix its officers, directors, employees, promotion agencies, agents, successors, assigns, and service providers, are not responsible for any products or services offered by the Rewards Partners. TO THE FULLEST EXTENT ALLOWABLE BY LAW, Matrix ITS JOINT VENTURES, OFFICERS, DIRECTORS, EMPLOYEES, AND THEIR PROMOTION AGENCIES SPECIFICALLY DISCLAIM ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PRODUCTS AND/OR SERVICES OFFERED BY ANY REWARDS PARTNER, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. Some jurisdictions do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you. Members agree to rely solely on the manufacturer's warranties, if any, for any products redeemed through this Program. By participating in the Program, each member hereby releases the Released Parties from and against any and all claims, damages, losses, liabilities, and other expenses (including, without limitation, attorney’s fees) relating to that member’s participation in Program, use of points or rewards, or agreement to these Terms. Matrix is not responsible for requests or correspondence lost or delayed in the mail.

1.1. LEGAL DISPUTES AND ARBITRATION AGREEMENT

With regard to any claim or legal proceedings for any reason whatsoever regarding this Agreement, the parties elect the Judicial District of Montreal, Province of Quebec, Canada, as the appropriate place for the hearing of said claims or legal proceedings to the exclusion of any other judicial district that might have jurisdiction over such dispute according to statutory prescriptions or limitations.
